Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or relating to these Terms and Conditions shall be brought exclusively in the federal or state courts located in Dallas County, Texas. You hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue.

Waiver of Jury Trial

To the extent permitted by law, you and Arena Tech each waive any right to a jury trial in any proceeding arising out of or related to these Terms and Conditions.

11. Dispute Resolution

Informal Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting Arena Tech. We will make reasonable efforts to resolve the matter through good faith negotiations for a period of at least 30 days.

Arbitration

If informal resolution fails, any remaining dispute shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in Dallas, Texas, by a single arbitrator mutually agreed upon by the parties.

The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction. Each party shall bear its own costs and attorneys' fees, unless the arbitrator awards costs and fees to the prevailing party.

Class Action Waiver

You agree that any dispute resolution proceedings, whether in court or arbitration, will be conducted only on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12. Modification of Terms
